Ex parte leave to commence committal proceedings was properly granted on a prima facie basis, but the substantive committal application was dismissed because the Plaintiff failed to prove beyond reasonable doubt that (1) the Consent Order survived the winding up so as to bind the liquidator and those acting with his sanction, and (2) completed dispositions in breach had occurred; given serious and bona fide legal doubt on the survival of the Consent Order, absence of completed transfer, parallel substantive litigation and adequate alternative remedies, contempt could not be established.
