Clause 15 of the Rules and Regulations formed part of and was incorporated into the Time Share Ownership Agreements; the plaintiffs’ pleaded claims arise out of or in relation to those agreements and thus fall within the arbitration clause. Clause 14.15 (governing law/jurisdiction) does not negate the arbitration agreement. The defendant had not taken disqualifying steps in the proceedings. Therefore, under s10 Arbitration Act 2005 the court was mandatory required to stay proceedings and refer the dispute to arbitration; costs RM9,000 awarded to defendant.
