The High Court found the 31.1.2017 Agreement governed the transaction, the Plaintiffs had validly elected payment in kind and had complied with the Agreement such that the Defendants repudiated and terminated the Agreement prematurely; the Defendants’ attempted fresh Indonesian evidence was not new, did not bind the Plaintiffs and did not displace official corporate records showing D2 and D3 remained shareholders, therefore the Plaintiffs’ claim succeeds and the Defendants’ counterclaim fails.
