On the balance of probabilities contemporaneous documents and witness admissions established a constructive trust: defendants 2 and 3 held shares for PEKAWANIS (beneficial owner). The willing buyer/willing seller defence was implausible in context. Plaintiffs (including MBI) had locus standi and the claims were not time-barred under s22 Limitation Act. Defendants committed breach of trust/unjust enrichment and are liable to declarations, return/transfer reliefs and monetary reliefs including compensatory and exemplary damages, interest and costs as ordered.
