The Court applied the CM Banks test as supplemented by Weatherston, found statutory compliance, adequate disclosure, proper class representation and overwhelming shareholder approval, no evidence of prejudice to shareholders or creditors and a directors' solvency certificate; accordingly the scheme was fair and equitable and was sanctioned.
