Rule 458D(1)(e) permits the Court to allow a proceeding under s123 to commence by originating application where it is in the interests of justice; in this private company with few shareholders and a director refusing to cooperate, it was in the interests of the company and not impracticable to permit an originating application and to order a shareholders meeting under s123, as Part 4 procedures (discovery etc.) were unnecessary and would cause undue delay.
