The respondent had for an extended period failed to perform director duties, causing prejudice to the company and shareholders by preventing urgent execution of a sale agreement and exposing the company to statutory and financial detriment; accordingly, under s174 Companies Act 1993 the Court must remove the director and appoint a replacement to protect the company and its shareholders.
