The Auckland Society's assets vest beneficially in the incorporated society but the society is obliged by its constitution to apply assets for its charitable objects; the 2001, 2008 and 2009 amendments did not alter the society's charitable purposes, the attempted entrenchment requiring approval of the New Zealand Sikh Society was void and of no effect, and therefore the challenged amendments were valid and intra vires; plaintiffs' declaratory relief was dismissed and the court declined to exercise discretion to set aside the changes.
