The Court found there was a serious question to be tried about the validity of the purported removal given alleged defective notice and irregular calling of meetings; the balance of convenience favored preserving the status quo because defendants' communications to suppliers risked irreparable business and reputational harm and damages were likely inadequate; overall justice and the absence of acquiescence or delay by the applicant supported granting relief on a without-notice basis; accordingly an interim injunction reinstating the plaintiff as director pending further order was justified.
