The Court authorised cancellation because statutory prerequisites and service obligations in s187 were satisfied, the majority of active owners supported sale, diligent efforts to locate absent owners were made, no opposition was raised, and having regard to the interests of creditors and persons with registered interests the Court concluded it was just and equitable under s188(2).

The Court concluded it was just and equitable to terminate the liquidation because the applicant provided sufficient funds to pay all creditors in full and to cover liquidator's costs, the liquidators filed the required report and consented, and the sole shareholder (applicant) would not be disadvantaged; accordingly termination under s250(1) was ordered.

It is just and equitable to restore the majority of the listed companies to the register to enable the existing litigation to be finally resolved despite delay and prior requests to strike off; restoration is refused for three companies where plaintiff failed to prove membership required by the statutory provision; additional orders are required to address the interregnum and to revive any case stated proceedings.
