On the undisputed documentary matrix the parties never manifested a mutual intention to be immediately bound and essential terms (notably the maximum build/purchase price) remained unresolved and required formal executed documentation; accordingly no arguable binding contract existed and there was no equitable entitlement by estoppel, so summary judgment for the defendants was warranted.
