The Court concluded that statutory requirements and Initial Orders had been complied with, the Scheme Booklet and associated materials fairly and adequately informed shareholders, required majorities were validly obtained, shareholders were fairly represented, the scheme was fair and equitable and an intelligent business person might reasonably approve it, and the CITIC/TBB deed did not alter class rights or the Scheme's terms and therefore did not preclude approval.
