The HOA was a binding contract: it contained all terms the parties considered essential and the parties acted on it. The phrase 'the demolition work' refers to demolition of properties for which Nicon provided quotes; the HOA created a 'preferred contractor' obligation requiring Stream/Tower to offer Nicon the opportunity to undertake such work and to include Nicon in any competitive tendering process, subject to qualifications allowing Stream to engage others where Nicon lacked capacity or to maintain market rates.
