Although the applicant's blackmail conviction was calculated and serious, the Court found the offending to be an isolated departure in an otherwise good character profile, the companies would suffer without his managerial involvement, and the prophylactic objectives of s 382 could be satisfied by imposing tailored conditions. Therefore the Court granted leave to manage and be a director of the named companies for the balance of the five‑year period subject to specified conditions to protect employees, creditors and the public.
