The Court held there was no evidential foundation that BTC appointed the administrator as its agent or took possession of the stock; the administrator acted as Shanton's agent bound to account as company agent, so guarantors could not rely on an agency-based defence, but appellants have an arguable defence under s50(2) to payment for the undelivered consignment, warranting reduction of the judgment by USD 72,816.80.
