Where a purchaser pays for intangible assets that include the benefit of a restraint of trade covenant and the vendor deliberately breaches that covenant having no intention of complying, the purchaser is entitled to restorative/restitutionary damages equal to the portion of the purchase price attributable to the restraint; injunction may be refused to avoid double recovery; covenantor is jointly and severally liable.
