Given the profound and uncontested breakdown of trust and confidence between the parties, the absence of other creditors, nearly 18 months of unsuccessful negotiation, and no realistic prospect that a short adjournment would produce settlement, it was just and equitable to wind the company up under s 241(4)(d) and appoint a liquidator to resolve the impasse.
