Final orders were granted because TLT complied with Part 15 and the Initial Orders, provided adequate disclosure and solvency certification, the meeting was properly conducted and fairly represented, the scheme did not alter relative voting rights (so s236A did not apply), it had unanimous board support and overwhelming shareholder approval, and no creditor or third party would be materially prejudiced; accordingly the scheme was fair and equitable and capable of sanction.
