Once the plaintiff advanced funds and supplied equipment the parties proceeded as a joint venture and fiduciary duties arose; the defendant breached those duties by refusing access to equipment and failing to account for funds; the defendant made misleading representations about his ability to source and germinate coffee seeds and his expertise lacked a reasonable basis and plaintiff reasonably relied on those representations; negligent misstatement established because defendant knew reliance would occur and plaintiff suffered detriment; quantification of loss adjourned.
