On the evidence, including the executed Deed, subscription and resolutions and Wedd's concession, Sharrock validly became a director and acquired shares in Just Steel in February–March 2013 and is entitled to be entered in, or to have rectification of, the company's share register under s91; Wedd's December 2015 filings purporting to remove Sharrock and record him as non-shareholder/director were not validly lodged on behalf of Just Steel; Wedd had no authority to file the notice of discontinuance and the Court set it aside using its inherent jurisdiction to prevent abuse of process.
