Appellant was liable in deceit because he knowingly or recklessly represented that independent legal advice would be provided and held out intent to protect the claimant's interests while promoting an irrevocable buy-back transaction; those representations were intended to and did induce the claimant to enter the transaction causing loss, so the District Court's award of damages for deceit is upheld.
