The defendant's conduct in occupying premises without accounting for rent, failing to account tenant rents, paying unapproved wages and drawings, and transferring/selling company property unfairly prejudiced the plaintiff's interests as a shareholder; it was just and equitable to order the defendant to reimburse the company $341,973 and to wind the company up with appointed liquidators to repair the harm and realize company assets.
