Applied Intelligence Ltd was restored because restoration was necessary to enforce PowerNet’s judgment, the Registrar consented, the Treasury had no objection, relevant parties did not oppose, and the company was unable to pay the debt; accordingly immediate liquidation and appointment of a qualified liquidator with approved fees was appropriate.

The court restored Ben Cruachan Limited to the Register and ordered its immediate liquidation because the company lacked a qualifying director contrary to s10 (justifying appointment of liquidators under s241(4)(c)) and because shareholder deadlock made winding up just and equitable under s241(4)(d); restoration was ordered without requiring the completion of the annual return as liquidators will administer the company, and indemnity costs were awarded to the plaintiff.

The application for liquidation was effectively unopposed, no defence or evidence of solvency was presented, and the statutory demand remained unchallenged; accordingly the Court will order liquidation unless the defendant satisfies the debt or reaches an acceptable settlement within the limited 24 hour adjournment period.
