Because there was a genuine and substantial dispute both as to which entity (Redline IT Ltd or Mr Hay personally) is the proper creditor and as to the amount owing, a winding up order would be inappropriate; the remedy was to join Mr Hay as an alternative plaintiff, limit the maximum claim to $17,324.56 for present purposes, and adjourn for amended pleadings.
