The November 2014 documents were plainly qualified, contingent budget estimates (not binding quotations or offers); Newland Burling could not reasonably have relied on them as fixed prices, there was no substantial dispute to defeat the statutory demand nor an arguable counterclaim sufficient to exceed the prescribed amount, and therefore the statutory demand was properly upheld.
