The Court was satisfied that the statutory requirements of s 236 were met, the scheme was fairly disclosed and put to distinct shareholder classes, the statutory majorities acted bona fide and representative, an intelligent and honest businessperson might reasonably approve the scheme, and the scheme was fair and equitable overall; accordingly the scheme of arrangement was approved and made binding.
