The Court granted an interlocutory injunction restraining Marlin from exercising Controlling Member voting rights at meetings prior to determination of the Association's appeal against the arbitral award because the balance of convenience favored preserving the Association's rights pending resolution, the risk of imminent loss to Marlin was low and the Association offered an undertaking as to damages to be ratified by Special Resolution as a condition of continuing relief.
