There is a serious question to be tried and the balance of convenience and overall justice favor granting interim relief to effect the transfer today, provided ASB's legitimate $500,000 security interest is preserved; accordingly defendants are ordered to sign transfers and related documents to give effect to the s 21A Agreement on 15 February 2017 subject to the preservation of ASB's security per its letters, with leave to apply for further directions and costs to the applicant.
