Sentiero failed to establish a reasonably arguable case that it acquired a binding equitable interest free of notice of Farmers' prior option because Mr Young had actual or, at minimum, constructive notice of the Farmers' option before acquiring any enforceable equitable interest; therefore Farmers' earlier equitable interest prevails and the appeals are allowed.
