No binding contract arose on 9/10 June 2011 because the letter was a conditional précis subject to formal documentation and guarantees; the pleaded terms could not be implied as they contradicted express terms and were unnecessary to give business efficacy; Turner and Green did not owe (or breach) fiduciary duties in respect of the warehousing proposal; the deeds did not constitute a credit contract for purposes of the CCCF Act and, in any event, conduct was not oppressive.
