The 2010 amendment was invalid because the Trust Deed required amendments to be considered at a properly convened Hui a Moriori or Annual Hui with the quorum under cl 13.2; similarly trustee elections require a Hui a Moriori/AGM (postal voting alone insufficient), so the August 2012 election was invalid; the trustees exceeded their powers in purporting to cancel the election for reasons other than the Deed-based invalidity and were in breach for refusing to hold required elections; consequentially the Court declared terms of office of seven trustees expired, invalidated the amendment and the…
