Plaintiff failed to prove on the balance of probabilities that the 75% majority was not achieved; the chairman's declaration and minutes were conclusive under the society rules; and even if a procedural defect had existed the Court would not have exercised its s21(3A) discretion to revoke registration because of significant prejudice and subsequent actions (fisheries asset transfers and mandated status).
