Given the applicant was the sole director and shareholder, the company had arguable non‑vexatious claims supported by a Law Society decision and independent legal opinion, there was an adequate explanation for delay and potential limitation urgency, and the company was solvent when removed, it was just and equitable to restore the company to the register and to dispense with service.

The Court restored KDB because the applicant demonstrated it had an undischarged claim against KDB when KDB was removed, the claim was genuine and not clearly untenable, and there was no opposition from the Registrar or the Crown; accordingly the Court had jurisdiction under s 329 and it was appropriate to order restoration.

The Court held s 284(1)(b) can be used to reverse a liquidator's final report even where the liquidator has not acted wrongfully or unreasonably; reversal of the final report is a permissible and necessary step to restore a company to the Register still in liquidation, and prior authorities requiring fault relate to review of discretionary judgments rather than mechanical/statutory acts such as filing a final report.

Leave to bring proceedings under s 329 and restoration of Valencia Court Holdings Ltd were granted because the delay was not inordinate and caused no material prejudice, and there are significant factual and legal issues (notably large transfers of assets circa September 2000) that require further investigation which restoration and joinder will enable.
