The ESPP was a scheme by which employees purchased previously allotted securities on the open market and fell within the s 6(1) exemption so s 37 did not apply; s 6(3) was not engaged because the administrative features did not convert purchases into a new offer by the Plan; however allotments of new shares on exercise of options and vesting of RSUs potentially fell within s 37 and, in the interests of justice and equity under s 37AH, the Court validated those allotments to employees of the New Zealand subsidiaries up to 2007.
