Clause 5 of the Deed of Retirement created a contractual right to be consulted and to seek protection against an unauthorised capital distribution but did not confer a present proprietary or equitable interest in the trust land; therefore the plaintiff lacked the caveatable interest required under the Land Transfer Act and the caveat must be removed.
