No solicitor‑client relationship was established between counsel and the defendants because the 18 September meeting was preliminary and the defendants never instructed or signed documents; counsel acted for the plaintiffs only, the trust documents were unsigned, and there was no identifiable confidential information acquired in confidence that would likely be disclosed or that would undermine the defendants' interests; therefore the inherent jurisdiction to disqualify counsel is not engaged and the application to bar counsel and the firm is declined.
