Donaldson was personally liable under s 25(2) Companies Act 1993 because he signed the livestock contracts with the company name incorrectly stated, Progressive did not prove the obligation was known to be incurred by the company (s 25(2)(c)) and it was not just and equitable to relieve him (s 25(2)(d)); Progressive was entitled to judgment for $473,403.10, interest from specified dates, and the claim against the company in liquidation was dismissed.
