The Distributor Agreement was effectively extended by mutual conduct and waiver evidenced by the parties' sales confirmations and the plaintiff's failure to insist on the Minimum Annual Purchase Guarantee; PPM Mexico acted as a nominee/agent of PPM Toys Limited based on common ownership and management, shared representatives and email domain, payment history from the defendant's bank account and the parties' course of dealing; therefore the defendant is liable as principal for the unpaid purchase price of the Sales Confirmations and the plaintiff is entitled to contractual interest and costs.
