The 1st defendant breached the supply orders and raised no effective defence; the plaintiff took reasonable steps to mitigate loss and is entitled to recover damages and costs from the 1st defendant; proceedings against the 2nd defendant are stayed under the Bankruptcy Ordinance.

Because the plaintiffs failed to appear the plaintiffs' claim was dismissed; the adjudication of bankruptcy of the first plaintiff barred proceedings against him without leave so the 3rd defendant's counterclaim was discontinued as to him; the 3rd defendant proved entitlement to a commission of HK$54,000 against the second plaintiff, who was ordered to pay that sum with interest at the Judgment Rate and to pay costs.

The court accepted the liquidators' evidence that repayments to the respondent and the payment to Chief Concept occurred while the company was insolvent and placed her in a better position than other creditors; absent any stay application under the Bankruptcy Ordinance and with the claim listed in the respondent's statement of affairs, the liquidators established entitlement to relief under ss266B and 276 of the Companies Ordinance and the court ordered relief in terms of the summons.
