The debt was held to be bona fide disputed on substantial grounds because the Trust Deed and Global Certificate admit a plausible construction that only the Registered Holder (nominee) could validly give notice and present the Global Certificate, the Trustee's powers are permissive and do not mandate a parallel route through accountholders, and there was no clear evidence the Registered Holder gave the requisite notice; accordingly the creditor had not established an undisputed debt and the petition failed.

On balancing the competing considerations an adjournment was refused and an immediate winding-up order made because independent unsecured creditors (including major institutional creditors) unanimously supported immediate winding-up, there was insufficient independent creditor support for the Company's proposal, and the proposed concessions did not outweigh the paramount interest of unsecured creditors in an insolvent company.

The word 'British' in the Trust Deed adds a political/jurisdictional qualification: beneficiaries must be amenable to the jurisdiction of the courts of the sovereign of the United Kingdom; accordingly the trustee may pay income to charities registered in Hong Kong or the United Kingdom until 30 June 1997 but after that date only to charities registered in the United Kingdom.
