Because the parties did not agree on the essential term of the date of completion, the alleged settlement agreement was not enforceable as a contract for the sale of land; accordingly the Originating Summons failed and was dismissed with costs.

The 1st Plaintiff, though illegitimate, is entitled to an equal share of distributions from Tang Nam Kai Tso; entitlement runs from 10 September 2004 (date of earlier judgment), no retrospective claims before that date are permitted, and the costs of these proceedings are to be paid from the Tso trust fund (with the Plaintiffs' own costs taxed under Legal Aid Regulations).

The court held that 'industrial purposes' in special condition 2(a) includes the plaintiff's information service as part of the industrial package or, at minimum, as ancillary office use; condition 2(b) does not operate to restrict user to manufacturing only; therefore the defendant failed to show a breach and the plaintiff is entitled to a declaration that it has not breached condition 2(a).

The High Court refused the declaration and held a defendant may validly pay into court an amount expressed to be exclusive of interest; the court will not convert such a payment into one inclusive of interest and will leave determination of interest and costs to the arbitrator, noting the defendant takes the risk of excluding interest.
