The Court upheld the magistrate's findings that D3's answers to SEHK were false or misleading in a material particular and that D3 was reckless; provision of the announcement to SEHK, where SEHK was authorised to file with the SFC, satisfied the statutory requirement under s.384; recklessness of the director was properly imputed to the company under s.390; accordingly the convictions were supported by the evidence and the appeal was dismissed.
