The signed blank cheque was an unconditional and enforceable promise to pay in Hong Kong; the defendant's challenge that the underlying Macau obligation was unenforceable did not create a triable issue nor render the cheque void; summary judgment was therefore appropriate and the stay refused.

On the evidence before the Court the SPA was likely lawful and registrable; the Settlement Order granted the plaintiffs substantially all relief sought so plaintiffs were the winners and the 1st and 2nd defendants must pay the plaintiffs' costs with certificates for two counsel.

The appeal was allowed and Master Wong's summary judgment order set aside because the defendant raised a serious defence of illegality (and other factual disputes) involving mixed questions of PRC law and fact; such issues are not appropriate for resolution by Order 14 summary judgment and must be tried; accordingly the defendant was granted unconditional leave to defend.
