The Court of Appeal held that the exclusivity obligation (including prohibition on online teaching) and the prohibition on obtaining students' personal data were conditions of the 2003 Cooperation Agreement; the defendant's breaches of those conditions (online teaching and unauthorized collection/use of student data) amounted to repudiatory breaches entitling the plaintiffs to terminate; the appeal was dismissed and the trial judgment in favour of the plaintiffs was affirmed.
