Because the assignment incorporated the implied covenant under s35(1)(b) CPO and the defendant's power of attorney was invalid under its Articles with the directors untraceable, the court declared the defendant a constructive trustee and ordered the Registrar to execute a confirmatory assignment approved by the Registrar to perfect title, with costs of execution borne by the plaintiff and no order as to costs of the action.
