The appeal is dismissed: the court found on the evidence that EY retained title to the Diamond (the Invoice and Supplementary Agreement did not transfer property), IN was not a buyer in possession and Tsang/Tsang's company did not act in good faith such that s27(2) SOGO or s3 FO could divest EY's title. The pawn memorandum was not admitted as fresh evidence. Accordingly the Pawnshop does not have a better title than EY and the Diamond must be returned to EY.

Claims are not "adverse" for the purpose of interpleader where both claimants seek the same practical outcome (payment to the same party) notwithstanding that they rely on inconsistent legal bases; in such circumstances the stakeholder can pay the agreed recipient without admitting liability and interpleader relief is not justified. Accordingly the interpleader order was wrongly granted and must be set aside.

The Court found the plaintiff failed to prove, by the clear and cogent evidence required for allegations of grave fraud, that the agent forged or procured the change to the beneficiary or that there was a conspiracy with Lau; the agent Chan was accepted as a credible witness and the probabilities supported a genuine change of beneficiary; accordingly the change of beneficiary form dated 15 December 1993 was valid and effective and Lau Chup Hei was entitled to the policy proceeds.
