Leave to appeal was refused because the questions posed by the applicant rested on incorrect factual premises or were fact-sensitive, the CFI and CA correctly found a common intention to convey the Original CPS2 and that the Assignment Plan did not reflect that intention requiring rectification, no question of great general or public importance was shown under s22(1)(b), there was no reasonable prospect of success and no exceptional circumstances under the 'or otherwise' limb; costs were ordered against the applicant.
