The court stayed the Hong Kong proceedings permanently because the connecting factors (place of performance, location of evidence, regulatory and corporate acts, and existence of parallel mainland proceedings and judgment) demonstrated mainland China was the clearly more appropriate forum; the plaintiff failed to show any personal or judicial advantage would be lost by litigating in mainland courts; comity and avoidance of duplicative or conflicting adjudication justified the stay.

The Court of Appeal held that s.221 extends to documents and information concerning subsidiary activities where those activities directly concern the affairs of the company in liquidation (here the company’s sole or principal asset being its subsidiary interest), and that the learned judge properly exercised his discretion in ordering production of documents, affirmations and oral examination against specified respondents after balancing the liquidators’ needs against oppression; the appeal was therefore dismissed.

Because an interim stay was in place pending resolution of related proceedings in China and the outcome of those proceedings could determine whether the Hong Kong proceedings continue or whether different interlocutory relief will be sought, the court exercised its discretion to vary the order nisi and reserve all costs to-date to be decided after resolution of the defendant's substantive application, so that the court can allocate costs with the advantage of hindsight and fairness to both parties.
