The judge found the Defendant's purported new tenancy and assignment/set-off to be recent fabrications inconsistent with contemporaneous documents and surrounding circumstances, that YTL lacked authority to bind the Plaintiff and Defendant had notice of that lack of authority, and that the alleged set-off would breach the Shareholders Agreement and be void under Bankruptcy Ordinance s42; accordingly no triable issue existed and summary judgment/conditional leave as ordered by the Master was upheld and the Defendant's appeal and strike out application were dismissed.
