The court refused the stay because the Official Receiver's report and evidence indicated the company was apparently insolvent, there was no real prospect that the HCMP would result in a buy‑out order (the only realistic remedy if the applicants succeed being winding up), the applicants failed to discharge the heavy burden to show a stay was right and they offered no proposal to address undisputed indebtedness; accordingly granting a stay would be inappropriate and prejudicial to creditors.

    Court of First Instance
    Case number
    HCCW212/1997

The court directed that respondents file evidence on the whole petition while noting their concession to a winding-up order, granted leave to restore the matter for further directions and argument rather than making a final order, and warned that the petitioner would likely bear costs from the date of concession if only a winding-up order is obtained; the court observed that the petitioner may have an advantage under s.168A.
